License Scope
This AI Training License governs any approved use of AudioVault catalog assets, stems, masters, compositions, voice models, embeddings, metadata, tags, prompts, creative process logs, or structured datasets for machine learning, model evaluation, model fine-tuning, retrieval, similarity analysis, or synthetic media workflows.
No AI training, model tuning, dataset ingestion, embedding extraction, or commercial model deployment rights are granted unless the license tier, dataset scope, territory, term, permitted purpose, and compensation terms are expressly approved in writing or through a platform contract flow.
This working license is designed to preserve creator ownership, require explicit consent, separate research use from commercial use, and create auditable records for rights holders, licensees, platform operators, and legal review.
Permitted Uses
A licensee may use only the specific dataset, files, metadata fields, stems, or model artifacts made available under the approved tier. Research access, commercial training, enterprise deployment, catalog API access, and voice-model access are separate rights and may not be combined by implication.
Approved uses may include internal research, model evaluation, tagging experiments, non-public embeddings, quality control, rights-compliance testing, or commercial training only where the selected tier expressly allows those activities.
Any public output, commercial deployment, derivative dataset, generated audio product, or customer-facing AI tool requires a commercial or enterprise tier that clearly states output permissions, creator compensation, attribution rules, and post-termination obligations.
Prohibited Uses
A licensee may not scrape, redistribute, sublicense, leak, sell, expose, reverse engineer, or use AudioVault datasets to build a competing catalog, evade usage limits, remove provenance data, obscure creator credits, or bypass contractual access controls.
A licensee may not use the catalog to imitate, clone, or commercially exploit a creator's voice, name, likeness, performance, style, catalog identity, or protected work unless the applicable creator, rights holder, and platform records show explicit permission for that use.
A licensee may not use research-tier access for commercial model deployment, advertising tools, royalty-generating services, customer-facing products, or synthetic media services without upgrading to the appropriate commercial tier.
Commercial Tiers
Research access is limited to non-commercial study, academic review, evaluation, and internal testing. Commercial ML access may include higher-quality files, richer metadata, approved model training, and platform-approved revenue terms.
Enterprise access may include structured catalog API use, larger dataset slices, model deployment rights, audit reporting, compliance support, indemnity terms, and custom creator compensation structures.
Voice model, likeness, and synthetic performance rights are always separate from general catalog access. They require explicit opt-in, verified consent, and usage limits tied to the named voice owner or authorized representative.
Provenance And Audit
AudioVault may log account identity, organization identity, IP address, API key, timestamp, files accessed, metadata accessed, license tier, declared purpose, dataset version, and related compliance events for every dataset session.
Licensees must preserve training-session records, dataset manifests, model versions, derivative dataset records, output testing records, and compliance logs where required by the selected tier or written agreement.
Audit records may be used to verify creator consent, prove license scope, investigate misuse, calculate compensation, support takedowns, preserve legal evidence, and demonstrate rights-clean provenance.
Revocation And Remedies
AudioVault may suspend or revoke access if a licensee breaches license terms, exceeds the approved tier, fails an audit, falsifies logs, hides commercial use, violates creator consent restrictions, or creates unresolved rights risk.
Upon revocation or expiration, the licensee must stop accessing the dataset, stop unapproved training or deployment, preserve required compliance records, and delete or quarantine materials where required by the agreement.
AudioVault may pursue platform remedies, contract remedies, equitable relief, payment recovery, audit costs, takedown requests, or other lawful remedies. This AI Training License is a working platform draft and should be reviewed by qualified counsel before external execution.
