Creator Agreement

Rights Granted To AudioVault
By uploading, submitting, listing, selling, distributing, processing, or publishing content through AudioVault, Bootlegged Records, Bootlegged Publishing, Road Dog Apparel, or related platform services, you grant the platform a limited, worldwide, non-exclusive license to host, store, copy, process, transcode, analyze, display, stream, preview, distribute, promote, and otherwise use your submitted content only as needed to provide the services you choose.
This license allows us to operate creator tools such as uploads, catalog management, Vocal Forge processing, marketplace listings, checkout, previews, downloads, release workflows, publishing workflows, royalty records, analytics, customer support, fraud prevention, backups, and security review. It also allows us to show your public profile, artist name, artwork, product information, listing details, and promotional materials where you have made them public or submitted them for publication.
You also grant us permission to use your name, artist name, likeness, approved biography, logos, artwork, track titles, release information, and platform activity for ordinary platform operation, discovery, reporting, promotion, marketplace pages, release pages, and customer communications connected to your content. Any separate exclusive deal, label agreement, publishing agreement, sync agreement, brand deal, or distribution agreement must be in a separate written agreement.
Creator Ownership Retention
You keep ownership of the music, recordings, compositions, stems, vocals, artwork, merchandise designs, metadata, and other content you own before uploading it. This Creator Agreement does not transfer ownership of your copyrights, masters, publishing rights, trademarks, name, likeness, or catalog to AudioVault or any related brand unless a separate written agreement expressly says so.
You are responsible for making sure you have permission from all writers, producers, artists, vocalists, musicians, engineers, photographers, designers, labels, publishers, beat makers, sample owners, estates, managers, or other contributors whose work, name, voice, likeness, or rights are included in your submission.
You must keep your credits, splits, ownership information, licenses, samples, releases, and contributor records accurate. If ownership is disputed, we may pause processing, publication, sales, payouts, downloads, distribution, or publishing activity until the issue is resolved.
Royalty Structure
Royalty, marketplace, subscription, publishing, distribution, affiliate, SoundCoin, XP, or other revenue structures may vary by product, plan, territory, agreement, campaign, listing, release, or service. The applicable checkout page, dashboard, listing, contract, split sheet, publishing agreement, or written offer controls the specific rates, fees, deductions, and payment timing for that activity.
Unless a separate written agreement says otherwise, platform fees, payment processing fees, refunds, chargebacks, taxes, withholding, distribution fees, publishing administration fees, marketplace commissions, and third-party costs may be deducted before a creator payout is calculated.
You are responsible for entering accurate payout information, tax information, collaborator splits, royalty shares, and payment details. We may hold, delay, reverse, or adjust payouts if there is suspected fraud, a rights dispute, incorrect payment information, unresolved chargebacks, legal process, tax requirements, or a platform policy issue.
Distribution Rights
If you use distribution, release, publishing, licensing, marketplace, or promotional services, you authorize the platform and its service providers to deliver, reproduce, distribute, display, perform, monetize, promote, report, and administer the submitted content as reasonably needed for the selected service.
You represent that you have cleared all rights needed for distribution, including master rights, composition rights, sample licenses, artwork rights, name and likeness rights, explicit content disclosures, featured artist permissions, producer permissions, split approvals, and any required third-party approvals.
Distribution and publishing features may be subject to partner rules, store rules, platform policies, territory restrictions, takedown requests, content review, metadata standards, and legal obligations. We may reject, delay, remove, or modify a submission if it appears incomplete, inaccurate, infringing, fraudulent, harmful, or non-compliant.
Termination Rules
You may stop using creator services or remove eligible content through available account tools, subject to completed sales, licenses, publishing records, active campaigns, release obligations, accounting records, dispute holds, legal requirements, and partner takedown timelines.
We may suspend, limit, or terminate creator access if we believe this Creator Agreement, our Terms, Content Guidelines, payment rules, rights requirements, marketplace rules, security standards, or applicable law have been violated. We may also remove content, pause payouts, cancel listings, or disable releases when needed to protect users, rights holders, customers, payment systems, or the platform.
After termination, some records may be retained for legal compliance, accounting, tax, royalty, licensing, fraud prevention, security, dispute resolution, reporting, and customer support. Termination does not erase obligations tied to completed purchases, licenses, releases, publishing records, unresolved disputes, or amounts owed.
Digital Signature Acceptance
By clicking an acceptance button, checking an agreement box, creating a creator account, uploading content, submitting a release, creating a marketplace listing, requesting a payout, using paid creator tools, or otherwise continuing to use creator services after this Agreement is presented, you agree that your electronic action has the same effect as a handwritten signature where permitted by law.
You agree that electronic records, acceptance logs, timestamps, IP information, account identifiers, version numbers, and platform records may be used to show which version of this Agreement you accepted and when you accepted it.
If you are accepting on behalf of a company, band, label, publisher, estate, collaborator group, or other rights holder, you represent that you have authority to bind that party. This Creator Agreement is a working platform agreement and should be reviewed by qualified counsel before being treated as final legal advice.
